The Carlyle Group Intends To Place Shares in KAP AG,
a German Industrial Group

London, May 8, 2019 - Global investment firm The Carlyle Group (NASDAQ: CG) has today announced its intention to place shares of KAP AG (IUR: Frankfurt) via an equity capital markets transaction and thereby to significantly increase KAP's free float and capital markets profile.

Carlyle Strategic Partners ("CSP") currently holds a 45.5% stake in the German publicly listed mid-sized industrial group. In addition, KAP AG's second largest shareholder, FM-Verwaltungsgesellschaft mbH ("FM GmbH"), with a stake of 25.7% in KAP AG, is also considering to place shares of KAP AG along with CSP but intends to continue holding the majority of its current stake and agrees to a 24-month lock-up (subject to customary exceptions) for the remaining stake. Any sale by FM GmbH would be limited to 600,000 shares, representing 7.7% of KAP AG's share capital. A final decision is subject to a number of conditions, including a favourable capital markets environment.

Berenberg and Commerzbank have been mandated as Joint Bookrunners on the transaction. Lilja & Co. is the independent adviser to Carlyle.

Carlyle Strategic Partners has previously invested in a number of other industrial and manufacturing companies, including Klenk Holz AG, a German manufacturer of wood products, and Brintons, a global manufacturer of specialist woven carpets for residential and commercial premises.
