On January 27, 2012, Karoo Investment S.a.r.l., Luxembourg, Grand Duchy of
Luxembourg has informed us according to Article 21, Section 1 of the WpHG
that via shares its Voting Rights on Prime Office REIT-AG, München,
Deutschland, have exceeded the 5% threshold of the Voting Rights on January
25, 2012 and on that day amounted to 5.28% (this corresponds to 2744601
Voting Rights).

According to Article 22, Section 1, Sentence 1, No. 1 and concurrent
pursuant s Article 22, Section 1, Sentence 1, No. 6 of the WpHG, 5.28% of
the Voting Rights (this corresponds to 2744601 Voting Rights) is to be
attributed to the company.

Voting rights are to be attributed to Karoo Investment S.a.r.l., are held
via the following company which is controlled by Karoo Investment S.a.r.l.
and which is concurrent a shareholder whose holding of voting rights amount
to 3% or more in Prime Office REIT-AG:
