Limited, York, UK, Aviva Life Holdings UK Limited, York, UK, Aviva
Investors Global Services Limited, London, UK, Aviva Investors Holdings
Limited, London, UK, Aviva Group Holdings Limited, London, UK and Aviva
Plc., London, UK.

In the name and on behalf of the entities referred to below, we hereby
notify you of the following:

On March 05, 2010, the stake of Aviva Life & Pensions UK Limited, York,
United Kingdom, in the voting rights in Phoenix Solar Aktiengesellschaft,
Hirschbergstraße 8, 85254 Sulzemoos, fell below the threshold of 3 %. On
that date, Aviva Life & Pensions UK Limited held 1.70 % in relation to all
voting rights in Phoenix Solar Aktiengesellschaft (voting rights arising
from 114,194 ordinary shares (Stammaktien); Phoenix Solar
Aktiengesellschaft has issued ordinary shares only).

This notice is given pursuant to section 21 (1) WpHG.

2. Aviva Life Holdings UK Limited

On March 05, 2010, the stake of Aviva Life Holdings UK Limited, York,
United Kingdom, in the voting rights in Phoenix Solar Aktiengesellschaft,
Hirschbergstraße 8, 85254 Sulzemoos, fell below the threshold of 3 %. On
that date, Aviva Life Holdings UK Limited held 1.70 % in relation to all
voting rights in Phoenix Solar Aktiengesellschaft (voting rights arising
from 114,194 ordinary shares (Stammaktien); Phoenix Solar
Aktiengesellschaft has issued ordinary shares only).

All such voting rights were attributed to Aviva Life Holdings UK Limited
pursuant to section 22 (1) sent. 1 no. 1 WpHG.

3. Aviva Investors Global Services Limited

On March 05, 2010, the stake of Aviva Investors Global Services Limited,
London, United Kingdom, in the voting rights in Phoenix Solar
Aktiengesellschaft, Hirschbergstraße 8, 85254 Sulzemoos, fell below the
threshold of 3 %. On that date, Aviva Investors Global Services Limited
held 2.54 % in relation to all voting rights in Phoenix Solar
Aktiengesellschaft (voting rights arising from 170,412 ordinary shares
(Stammaktien); Phoenix Solar Aktiengesellschaft has issued ordinary shares
only).

All such voting rights were attributed to Aviva Investors Global Services
Limited pursuant to section 22 (1) sent. 1 no. 6 WpHG.

4. Aviva Investors Holdings Limited

On March 05, 2010, the stake of Aviva Investors Holdings Limited, London,
United Kingdom, in the voting rights in Phoenix Solar Aktiengesellschaft,
Hirschbergstraße 8, 85254 Sulzemoos, fell below the threshold of 3 %. On
that date, Aviva Investors Holdings Limited held 2.54 % in relation to all
voting rights in Phoenix Solar Aktiengesellschaft (voting rights arising
from 170,412 ordinary shares (Stammaktien); Phoenix Solar
Aktiengesellschaft has issued ordinary shares only).

All such voting rights were attributed to Aviva Investors Holdings Limited
pursuant to section 22 (1) sent. 1 no. 6 in connection with sent. 2 and 3
WpHG. Of such voting rights, 0.27 % (voting rights arising from 18,329
ordinary shares (Stammaktien)) were attributed to Aviva Investors Holdings
Limited also pursuant to section 22 (1) sent. 1 no. 1 WpHG.

United Kingdom, in the voting rights in Phoenix Solar Aktiengesellschaft,
Hirschbergstraße 8, 85254 Sulzemoos, fell below the threshold of 3 %. On
that date, Aviva Group Holdings Limited held 2.73 % in relation to all
voting rights in Phoenix Solar Aktiengesellschaft (voting rights arising
from 183,112 ordinary shares (Stammaktien); Phoenix Solar
Aktiengesellschaft has issued ordinary shares only).

All such voting rights were attributed to Aviva Group Holdings Limited
pursuant to section 22 (1) sent. 1 no. 6 in connection with sent. 2 and 3
WpHG. Of such voting rights, 2.14 % (voting rights arising from 143,561
ordinary shares (Stammaktien)) were attributed to Aviva Group Holdings
Limited also pursuant to section 22 (1) sent. 1 no. 1 WpHG, and 0.01 %
(voting rights arising from 470 ordinary shares (Stammaktien)) were
attributed to Aviva Group Holdings Limited also pursuant to section 22 (1)
sent. 1 no. 2 in connection with sent. 2 and 3 WpHG.

held 2.73 % in relation to all voting rights in Phoenix Solar
Aktiengesellschaft (voting rights arising from 183,112 ordinary shares
(Stammaktien); Phoenix Solar Aktiengesellschaft has issued ordinary shares
only).

All such voting rights were attributed to Aviva Plc. pursuant to section 22
(1) sent. 1 no. 6 in connection with sent. 2 and 3 WpHG. Of such voting
