Pankl Racing Systems AG - Announcement according to § 93 para 2 Austrian
Stock Exchange Act
Kapfenberg, 15 June 2012

Pankl Racing Systems AG announces, that it was informed by Knünz GmbH
located in Dornbirn/Österreich, Pierer GmbH, located in Wels/Österreich as
well as by Mr Rudolf Knünz and Mr Stefan Pierer, both residents in Austria,
as follows:
 
1.1 Pankl Racing Systems AG is controlled by CROSS Motorsport Systems AG
(amount of voting rights: around 57.59%; 1,814,117 shares). CROSS
Motorsport Systems AG is controlled by CROSS Automotive Holding GmbH, which
itself is a 100% subsidiary of CROSS Industries AG.

1.2 CROSS Industries AG was jointly controlled via Pierer Invest
Beteiligungs GmbH by Pierer GmbH and Knünz GmbH so far. Sole shareholder
and director of Pierer GmbH is Mr Stefan Pierer. Sole shareholder and
director of Knünz GmbH is Mr Rudolf Knünz.

1.3 Knünz GmbH and Pierer GmbH entered into a syndicate agreement on 13
June 2012. The signing of the syndicate agreement led from a joint control
over Pierer Invest Beteiligungs GmbH, CROSS Industries AG, CROSS Automotive
Holding GmbH and CROSS Motorsport Systems AG by Pierer GmbH and Knünz GmbH
to a sole control of Pierer GmbH and as a consequence to a change of
control in Pankl Racing Systems AG.

2. Knünz GmbH / Mr Rudolf Knünz

Knünz GmbH informed Pankl Racing Systems AG, that since the signing of the
syndicate agreement on 13 June 2012 the exercisable voting rights in Pankl
Racing Systems AG's shares held so far indirectly via Pierer Invest
Beteiligungs GmbH, CROSS Industries AG, CROSS Automotive Holding GmbH and
CROSS Motorsport Systems AG cannot be exercised anymore. The amount of
voting rights of Knünz GmbH in Pankl Racing Systems AG's shares therefore
fell below the thresholds of 50%, 45%, 40%, 35%, 30%, 25%, 20%, 15%, 10%
and 5% on 13 June 2012. The amount of voting rights fell back to zero. The
voting rights have been exercised by Pierer GmbH since 13 June 2012.

The amount of voting rights of Mr Rudolf Knünz in Pankl Racing Systems AG's
shares, so far exercisable indirectly via Knünz GmbH, Pierer Invest
Beteiligungs GmbH, CROSS Industries AG, CROSS Automotive Holding GmbH and
CROSS Motorsport Systems AG, fell therefore also below the thresholds of
50%, 45%, 40%, 35%, 30%, 25%, 20%, 15%, 10% and 5% on 13. June 2012. The
amount of voting rights fell back to zero.
 
3.   Pierer GmbH / Mr Stefan Pierer 

The amount of voting rights of Pierer GmbH in Pankl Racing Systems AG's
shares, exercisable indirectly via Pierer Invest Beteiligungs GmbH, CROSS
Industries AG, CROSS Automotive Holding GmbH and CROSS Motorsport Systems
AG, still exceed the threshold of 50% (amount of voting rights: around
57.59%; 1,814,117 shares).

The amount of voting rights by Mr Stefan Pierer in Pankl Racing Systems AG,
exercisable indirectly via Pierer GmbH, Pierer Invest Beteiligungs GmbH,
CROSS Industries AG, CROSS Automotive Holding GmbH and CROSS Motorsport
Systems AG, still exceed the threshold of 50% (amount of voting rights:
around 57.59%; 1,814,117 shares).
