On May 24, 2012 we have been notified pursuant to § 21 para 1 WpHG of the
following:
 
The proportion of voting rights via shares of BlackRock Financial
Management, Inc., New York, NY, USA, in Merck KGaA, Darmstadt, Germany, has
exceeded the threshold of 5% of the voting rights on April 13, 2011 and at
that time amounted to 5.03% (3,247,449 voting rights). These voting rights
were attributed to BlackRock Financial Management, Inc. pursuant to § 22
para 1 sentence 1 no. 6 WpHG in conjunction with § 22 para 1 sentence 2
WpHG.

The proportion of voting rights via shares of BlackRock Holdco 2, Inc.,
Wilmington, DE, USA, in Merck KGaA, Darmstadt, Germany, has exceeded the
threshold of 5% of the voting rights on April 13, 2011 and at that time
amounted to 5.03% (3,247,449 voting rights). These voting rights were
attributed to BlackRock Holdco 2, Inc. pursuant to § 22 para 1 sentence 1
no. 6 WpHG in conjunction with § 22 para 1 sentence 2 WpHG.
