I, Dr. Hans-Joachim Holzapfel, Attorney at Law, herewith notify you in the
name and on behalf of the individuals and legal entities listed below (the
'Notifying Persons') that on May 9, 2011, the holding of voting rights of
each Notifying Person in MAN SE, Ungererstrasse 69, 80805 München, Germany,
exceeded the threshold of 30% and amounted at the end of that day to 30.47%
(42,948,042 of the total of 140,974,350 of voting rights in MAN SE):

● Ferdinand Karl Alpha Privatstiftung, Wien, Austria*.

All of these 42,948,042 voting rights are to be attributed to each of the
Notifying Persons according to Article 22, Section 1, Sentence 1, No. 1
WpHG.
