On September 26, 2012, BlackRock Holdco 2, Inc., Wilmington, Delaware,
United States has informed us according to Article 21, Section 1 of the
WpHG that via shares its voting rights on Fresenius Medical Care AG & Co.
KGaA, Bad Homburg, Germany, ISIN: DE0005785802, WKN: 578580 have exceeded
the 5% threshold of the voting rights on September 18, 2012 and on that day
amounted to 5.002% (this corresponds to 15,105,551 voting rights).
According to Article 22, Section 1, Sentence 1, No. 6 in connection with
sentence 2 of the WpHG, 5.002% of the voting rights (this corresponds to
15,105,551 voting rights) is to be attributed to the company.

On September 26, 2012, BlackRock Financial Management, Inc., New York,
United States has informed us according to Article 21, Section 1 of the
WpHG that via shares its voting rights on Fresenius Medical Care AG & Co.
KGaA, Bad Homburg, Germany, ISIN: DE0005785802, WKN: 578580 have exceeded
the 5% threshold of the voting rights on September 18, 2012 and on that day
amounted to 5.002% (this corresponds to 15,105,551 voting rights).
According to Article 22, Section 1, Sentence 1, No. 6 in connection with
sentence 2 of the WpHG, 5.002% of the voting rights (this corresponds to
