Homburg v. d. H., Germany, fell below the threshold of 5% on April 25,
2012, and amounts to 4.88% (equivalent to 7,974,870 voting rights of a
total of 163,334,670 voting rights) as per this date. All of the voting
rights are attributable to BlackRock, Inc. pursuant to section 22 para. 1
sent. 1 no. 6 in connection with section 22 para. 1 sent. 2 WpHG.

2. BlackRock International Holdings, Inc., with its registered office in
New York, U.S.A., has notified us pursuant to section 21 para. 1 WpHG that
their percentage of voting rights in Fresenius SE & Co. KGaA,
Else-Kröner-Str. 1, 61352
Bad Homburg v. d. H., Germany, fell below the threshold of 3% on April 25,
2012, and amounts to 2.92% (equivalent to 4,771,594 voting rights of a
total of 163,334,670 voting rights) as per this date. All of the voting
rights are attributable to BlackRock International Holdings, Inc. pursuant
to section 22 para. 1 sent. 1 no. 6 in connection with section 22 para. 1
sent. 2 WpHG.

3. BR Jersey International Holdings, L.P., with its registered office in
St. Helier, Jersey, Channel Islands, has notified us pursuant to section 21
para. 1 WpHG that their percentage of voting rights in Fresenius SE & Co.
KGaA, Else-Kröner-Str. 1, 61352 Bad Homburg v. d. H., Germany, fell below
the threshold of 3% on April 25, 2012, and amounts to 2.92% (equivalent to
4,771,594 voting rights of a total of 163,334,670 voting rights) as per
this date. All of the voting rights are attributable to BR Jersey
International Holdings, L.P. pursuant to section 22 para. 1 sent. 1 no. 6
in connection with section 22 para. 1 sent. 2 WpHG.

4. BlackRock Group Limited, with its registered office in London, United
Kingdom, has notified us pursuant to section 21 para. 1 WpHG that their
percentage of voting rights in Fresenius SE & Co. KGaA, Else-Kröner-Str. 1,
61352 Bad Homburg v. d. H., Germany, fell below the threshold of 3% on
April 25, 2012 and amounts to 2.78% (equivalent to 4,541,352 voting rights
of a total of 163,334,670 voting rights) as per this date. All of the
voting rights are attributable to BlackRock Group Limited pursuant to
section 22 para. 1 sent. 1 no. 6 in connection with section 22 para. 1
