Explanation for publication:

Dr. Gerth has sold his shares in BioPlanta GmbH with a total nominal value
of DEM 65.000 to VITA 34 AG. The transfer of the shares takes place as
contribution of the shares in BioPlanta GmbH by means of contribution in
kind against granting of 380,000 shares in VITA 34 AG that have been
created by a capital increase from VITA 34 AG's authorized capital. The
remaining shares in BioPlanta GmbH with a total nominal value of DEM 35,000
are being held by BioPlanta GmbH. Therefore, following the consummation of
the transaction, VITA 34 AG will be holding – partly indirectly – all
shares in BioPlanta GmbH.
