Advanced Inflight Alliance AG places cash capital increase and holds its Ordinary General Meeting

Munich, 15 June 2012 - In terms of the resolution approved on 29 May 2012, Advanced Inflight Alliance AG (ISIN DE0001262186, WKN 126218, Seat: Schellingstr. 35, D-80799 Munich) successfully placed the full amount of the cash capital increase derived from authorised capital. Following entry in the Commercial Register, the company's nominal capital will therefore increase by 11.11 per cent to 18,542,323.00 euros through the issue of 1,854,232 shares. The capital increase will result in an approximate gross amount of 5.6 million euros flowing into the company. As announced, these funds are intended for use to finance future acquisition projects.

The existing shareholders exercised their subscription rights within the scope of the cash capital increase to the extent of almost 92 percent. Consequential to the additionally asserted oversubscription requests on the part of existing shareholders, the capital increase was oversubscribed by a factor of several times. In total, oversubscription requests for more than 5.5 million shares were received.
The capital increase was accompanied by VEM Aktienbank AG. The commencement of trading with new shares on the regulated market is scheduled to take place immediately after the capital increase has been recorded in the Commercial Register.

The Ordinary General Meeting of Advanced Inflight Alliance AG also took place in Munich today. With some 9.26 million shares, there was a quorum of 55.50 percent.

With except of the motions concerning the creation of a new authorised capital and to increase the authorisation to issue convertible bonds and/or bonds with warrants, the Ordinary General Meeting accepted all motions submitted by the management. Edward L. Shapiro and Jean-Yves Leblanc, both previous members of the Supervisory Board, were also re-elected into the company's controlling body. Furthermore, the Ordinary General Meeting set the proposed dividend at 0.12 euros per share as proposed by management and also agreed to.
