On 18 April 2012, an extraordinary annual meeting of TDS
Informationstechnologie AG, Neckarsulm (TDS AG) shareholders passed a
resolution approving the transfer of shares held by minority shareholders
to Fujitsu Services Overseas Holdings Limited, head-quartered in London, UK
(majority shareholder) and registered with Companies House in England and
Wales under the number 04973132 (FSOHL), in exchange for appropriate cash
compensation pursuant to Section 327a onwards of the German Stock
Corporation Act (AktG) (squeeze out of minority shareholders). This
resolution was entered into the commercial register for TDS AG at Stuttgart
Court (HRB 106645) on 22 June 2012. As a result, all shares held by
minority shareholders have now been transferred by law to FSOHL in exchange
for cash compensation of EUR4.32 per share.

Following the entry of the resolution into the commercial register for TDS
AG, the shares held by minority shareholders merely document their
entitlement to cash compensation.

TDS AG shares will be delisted in the near future.
