In its meeting as of today CFO Dr. Jochen Meier informed the supervisory
board of Reply Deutschland AG about his intention to resign from his
position as a member of the executive board with effect as of end of March
15, 2012. Due to the on-going expansion and internationalization of Reply
SpA Dr. Meier wants to assume new responsibilities in the international
network of Reply. The supervisory board authorized its chairman Dott. Mario
Rizzante to conduct respective negotiations. Besides, the supervisory board
decided to distribute the responsibilities of Dr. Meier among the other 2
members of the executive board.

GREAT MERITS

Dr. Meier has been linked with the company from the very beginning, first
as a managing director and then as a member of the executive board since
the IPO in 2000. He was one of the key drivers of the spectacular
development to a lighthouse in German SAP and CRM business as of today.

The executive board and supervisory board would like to thank Dr. Meier and
wish him all the very best for the future. Dott. Mario Rizzante, chairman
of the supervisory board commented: 'We are highly indebted to Jochen,
especially for his valuable contributions to the smooth and stable
integration of syskoplan in the Reply network after the acquisition in
2006. In 2011 we completed the rebranding of the German activities to the
corporate design of Reply and sharpened our positioning for future growth;
another important milestone achieved with the help of Jochen Meier.'

Dott. Rizzante continued: 'Given the stable situation of the German
operations now is a suitable point in time to use Jochen's capabilities to
identify and exploit additional business opportunities for Reply'. As a
senior partner Dr. Meier intends to establish the business division
'projects with the European community'.

NEW BOARD RESPONSIBILITIES

In future the executive board of Reply Deutschland AG shall consist of 2
members. The duties of the board are distributed among the well-rehearsed
team of Josef Mago and Dott. Flavia Rebuffat. Unchanged CEO Josef Mago will
focus on all market-related activities, offering portfolio, sales and
corporate development. Apart from her duties as COO Dott. Flavia Rebuffat
will assume the function as CFO of Reply Deutschland AG.
