Changes on the Supervisory Board of JENOPTIK AG.
Representatives of ECE, the largest single shareholder of JENOPTIK AG, will
be proposed for election to the Supervisory Board to the Annual General
Meeting of JENOPTIK AG on June 5, 2008.
At its meeting today, the Supervisory Board of JENOPTIK AG decided on
proposals for the future composition of the Supervisory Board to reflect
the change in share ownership. A unanimous resolution was passed to propose
three representatives of ECE for election to the Supervisory Board at the
Annual General Meeting of JENOPTIK AG on June 5, 2008. Prof. Dipl.-Ing.
Jörg Menno Harms, Prof. Dr. Dr. h.c. mult. Johann Löhn and Dr. Norbert
Schraad will be standing down from the Supervisory Board. Executive Board
and Supervisory Board of JENOPTIK AG would like to express its thanks to
the three gentlemen for their valuable and qualified cooperation on the
Jenoptik Supervisory Board.
For ECE, Mr. Rudolf Humer, Chairman of the Supervisory Board, Mr. Christian
Humer, Chairman of the Executive Board as well as Mag. Heinrich Reimitz,
member of the Executive Board of ECE European City Estates AG,
Hinterbrühl/Austria, will be proposed as new members.
Prof. Johann Löhn stood down with effect from April 24, 2008. A proposal
will be submitted to appoint Mag. Heinrich Reimitz through decision of the
court, as member of the Supervisory Board for the period up to the Annual
General Meeting. His mandate is to be for a temporary period until the new
Supervisory Board is elected by the Annual General Meeting on June 5, 2008.
Prof. Jörg Menno Harms and Dr. Norbert Schraad will be standing down with
effect form the end of the Annual General Meeting on June 5, 2008.
According to the notification of voting rights dated February 25, 2008,
with 25.02 percent of the shares ECE Industriebeteiligungen GmbH, a
subsidiary of ECE European City Estates AG and therefore indirectly owned
by the Humer Private Foundation, is the largest individual shareholder in
JENOPTIK AG. In November 2007 ECE acquired all the shares held by the Free
State of Thuringia in JENOPTIK AG. ECE sees itself as a strong core
shareholder in JENOPTIK AG with a commitment over the medium to long-term.
It welcomes the Group’s fundamental strategic realignment and aims to
support and drive forward Jenoptik’s growth strategy.
