Extended time for the redemption and conversion of shares

Luxembourg, 1 June 2012 - The board of directors (the 'Board') of Goldman
Sachs Structured Investments II SICAV (the 'Company') approved during a
Board meeting held on 30 May 2012 to submit the dissolution and liquidation
of the Company to the shareholders and to convene, on 6 June 2012, subject
to CSSF approval, or at such other date as the directors may determine, an
extraordinary general meeting of shareholders (the 'EGM') on 22 June 2012
to approve inter alia the dissolution and liquidation of the Company. On 30
May 2012 the Board also approved the suspension of the issue, redemption
and conversion of shares within the Company and of the determination of the
net asset value per share (the 'NAV') within the Company as of the date of
publication of the convening notice for the EGM, i.e. on 6 June 2012,
subject to CSSF approval or at such other date as the directors may
determine.

In order to give an extended period of time to shareholders of the Company
to redeem their holdings in the Company before the liquidation thereof, the
Board has resolved on 1 June 2012 to proceed to the suspension of the
redemption and conversion of shares within the Company and of the
determination of the NAV within the Company as of the date of the EGM which
should be held on 22 June 2012, subject to CSSF approval or at such other
date as the directors may determine. All other information given in the
ad-hoc-announcement of 30 May 2012 remains unchanged; in particular the
issue of shares within the Company will be suspended as of the date of
publication of the convening notice for the EGM.
