Celesio takes over 100 per cent in Brazilian pharmaceutical wholesaler
Panpharma

Stuttgart, 26 April 2012. Today, the Management Board and the Supervisory
Board of Celesio AG approved an agreement with the minority shareholders of
the Brazilian company Panpharma S.A. stipulating that the options to take
over the remaining 49.9 per cent of shares will be exercised prematurely.

The purchase price for the remaining shares amounts to roughly 650 million
Brazilian reais (approximately 260 million euro). The transaction is
expected to be concluded by 30 June 2012 (closing), subject to the
customary approvals required from the anti-trust authorities. After closing
Celesio will hold 100 per cent in the Brazilian wholesaler Panpharma.
