BKN International AG announces capital increase in kind

Cologne, 18 July 2003 - BKN International AG ("BKN" or the
"Company"), the
children's German company listed on the Frankfurt Stock Exchange, announced
today that it has issued 839,824 new shares to the Chairman of the
Management
Board, Allen Bohbot, in return for Mr. Bohbot forgiving Euro 839,824 of
financial obligations due to him from the Company.

The shares were issued to Mr. Bohbot, at Euro 1 per share, from authorised
share
 capital.

The net effect is to reduce the Company's liabilities by Euro 839,824 and
therefore increase the stockholder's equity accordingly. The Company total
share
 capital is therefore increased by 839,824 from 8,466,660 to 9,306,484.

Mr. Bohbot has stated that while he acquiesced to a request from the
supervisory
 board for this exchange, he is happy to trade cash for shares at this
Euro 1
per share value.  His total shareholdings since July 15, 2003 are now
1,264,824
or 13.6% of the total Company shares.
