Notice of Loss according to Sec. 92 para. 1 German Stock Corporation Act
(AktG)

The Management Board of Conergy AG hereby gives notice that a loss
amounting to half the share capital has occurred (Sec. 92 para. AktG). As
of 30 September 2012 the equity of the company amounted to EUR 72 mio. This
is due to the current business development and the one-time effect on
earnings from the contract termination with the U.S. wafer manufacturer
MEMC Electronic Materials, Inc. (MEMC), which was already disclosed in an
adhoc statement from 25 September 2012.

For this reason, the Management Board will immediately give notice of an
extraordinary general meeting in accordance with Sec. 92 para. 1 of the
German Stock Corporation Act. The invitation will be published in the next
few days together with the publication of the agenda.
