NEXUS AG restructures Healthcare Service sector
Management Board Chairman Ralf Gropengießer buys back 146,000 shares
above emission price at 31.1.2002
Villingen-Schwenningen, 2 October 2000 – The company NEXUS AG of
Villingen-Schwenningen, whose stock is listed on the German Neuer
Markt, is to comprehensively restructure its Healthcare Services
sector. In this way NEXUS is further strengthening its main business
sector ‘Healthcare Software’ with its electronic patient records,
MedFolio, and accelerating the company’s profit growth. Hence, the
management hope that NEXUS will save around DM 3 million a year as a
result of the restructuring. In the current business year, the measures
will generate extraordinary costs of approximately DM 6 million. In
addition, they will cause NEXUS to lose a turnover of approximately
DM 23 million. This is however a one-off effect. By as early as next year,
the effect of the restructuring on turnover will be considerably
reduced. And what’s more, it will enable profitability to be achieved
far earlier than anticipated up to now.
In the course of the restructuring measures, NEXUS AG has sold its 90-
percent share in Forest Products & Services GmbH back to the management
with effect from 1.10.2000. At the same time NEXUS has acquired 100
percent of Forest Products’ IT services sector and incorporated this
into three limited companies: NEXUS.IT, Nürnberg; NEXUS.IT, Hannover
and NEXUS.IT, Villingen-Schwenningen. This will enable NEXUS to retain
within the NEXUS group that proportion of the Forest GmbH turnover
which relates to NEXUS’ core business sector and to put the announced
new focus into effect. NEXUS is to concentrate its group-wide IT
expertise into these companies. This sector is to employ around 80
highly-qualified IT specialists from now on.
The three NEXUS.IT companies will in future concentrate mainly on
introducing nationwide IT services for NEXUS’ most important software
product, the electronic patient record, MedFolio, and guaranteeing the
24-hour service for hospitals.
In the context of this restructuring, Ralf Gropengießer, Management
Board Chairman of NEXUS AG, has personally acquired 146,000 shares in
the company from Harald Moog with effect from 31.1.2002. The price
agreed for the securities in this trade is more than the emission price
at which NEXUS shares were released onto the Neuer Markt on 24 July
2000. At that time one share cost 10 Euro. On Friday Xetra trading on
the shares closed at 5.75 Euro. As a result of the acquisition,
Gropengießer now holds around 1.7 million of the total NEXUS shares
amounting to close to 10.3 million.
