The amount of voting rights of BlackRock Advisors Holdings, Inc. in Bayer
Aktiengesellschaft exceeded the threshold of 3% on March 19, 2012 and
amounts to 4.24% (35,050,706 voting rights) on that day. All of the voting
rights are attributable to BlackRock Advisors Holdings, Inc. pursuant to
Article 22 Section 1 Sentence 1 No 6 in connection with Sentence 2 WpHG.
